These Terms & Conditions ("Terms") govern your access to and use of the ContentPulse platform and related services (the "Services"). Please read them carefully. By creating an account or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using ContentPulse, you agree to these Terms and to our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, you must not use the Services.

2. Definitions

"Content" means any text, images, metadata, or other materials generated, uploaded, or published through the Services. "Usage Credits" means the usage units consumed when generating or processing Content. "Account" means your ContentPulse user or organization account.

3. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality and security of your account credentials and API keys, and for all activity that occurs under your account. Notify us immediately at [email protected] of any unauthorized access or security breach.

4. Subscriptions, Usage Credits, and Billing

Paid plans are billed in advance on a recurring basis (monthly or annually) and renew automatically until cancelled. Usage Credits are allocated per billing period and do not roll over between periods. You may upgrade or downgrade at any time; changes take effect at the start of your next billing cycle and differences are pro-rated. You authorize us (and our payment processor) to charge your payment method for all applicable fees and taxes. Refunds are governed by our Refund Policy.

5. Free Account

ContentPulse offers a free account so you can evaluate the Services before purchasing a paid plan. The free account may have limited features and usage allowances and may be modified or withdrawn at any time. We do not offer paid trials; a paid subscription begins only when you select and pay for a plan, and your payment method is charged at that point.

6. Acceptable Use

You agree not to use the Services to generate or distribute content that is illegal, infringing, defamatory, deceptive, harmful, hateful, or that violates the rights of others; to reverse engineer, resell, or overload the Services; to circumvent usage limits or security controls; or to violate any applicable law. We may suspend or terminate accounts that violate this section.

7. AI-Generated Content — Your Responsibility

The Services use artificial intelligence to generate Content. AI output may contain inaccuracies, omissions, or material that requires editing. ContentPulse does not warrant that generated Content is accurate, original, non-infringing, fit for a particular purpose, or that it will achieve any specific search ranking, traffic, or commercial result. You are solely responsible for reviewing, editing, fact-checking, and ensuring the legality and suitability of all Content before publishing or relying on it.

8. Intellectual Property

As between you and ContentPulse, you own the Content you generate through the Services, subject to your payment of applicable fees and to third-party rights in any inputs you provide. The Services, including the platform, software, design, and underlying technology, remain the exclusive property of ContentPulse and its licensors. We may use aggregated, de-identified data to operate and improve the Services.

9. Third-Party Integrations

ContentPulse integrates with third-party services including Google Search Console, Shopify, and WordPress. By connecting a third-party account, you authorise ContentPulse to access and process data from that service as described in our Privacy Policy, and you represent that you have the authority to grant such access. Your use of third-party services is governed by their own terms, and we are not responsible for their acts, omissions, or availability. You may disconnect any integration at any time from your dashboard settings.

10. Service Availability and Changes

We strive to keep the Services available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Services at any time, and may impose or change usage limits.

11. Disclaimer of Warranties

The Services and all Content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by law, ContentPulse and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of the Services. Our aggregate liability for any claim will not exceed the amounts you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify and hold harmless ContentPulse from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Content, your use of the Services, or your breach of these Terms or any law or third-party right.

14. Termination

You may cancel your subscription at any time from your account settings. We may suspend or terminate your access for breach of these Terms, non-payment, or to comply with law. Upon termination, your right to use the Services ceases; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

15. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles, and the courts of England and Wales will have exclusive jurisdiction, except where mandatory consumer protection law in your country of residence provides otherwise.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated revision date and, where required, communicated to you. Your continued use of the Services after changes take effect constitutes acceptance.
